Effective Date: 9-1-2025
These Affiliate Program Terms & Conditions (“Agreement”) govern participation in the Cloudifi Affiliate Program (“Program”). By registering as an Affiliate, you (“Affiliate,” “you,” or “your”) agree to be bound by this Agreement.
Cloudifi, operated by Berkley and Blanton Investments L.L.C. (“Cloudifi,” “we,” “our,” or “us”), reserves the right to update or modify this Agreement at any time. Continued participation in the Program constitutes acceptance of such changes.
1. Enrollment in the Program
1.1. Application Process – You must complete an application to join the Program. Cloudifi reserves the right to accept or reject any application at its sole discretion.
1.2. Eligibility – You must be at least 18 years of age and able to form legally binding contracts under applicable law.
2. Affiliate Obligations
2.1. Accurate Information – You agree to provide and maintain accurate information, including name, payment details, and tax information.
2.2. Promotion – You may promote Cloudifi services through websites, social media, email campaigns, or direct referrals, provided such promotions comply with this Agreement and applicable laws.
2.3. Prohibited Activities – Affiliates shall not:
- Use misleading or deceptive advertising practices.
- Bid on Cloudifi’s trademarks or brand terms in search engines.
- Spam, engage in unsolicited emails, or violate CAN-SPAM, GDPR, or similar laws.
- Promote Cloudifi on adult, offensive, or illegal websites.
- Misrepresent themselves as Cloudifi or impersonate our employees.
3. Commissions
3.1. Commission Rate – Affiliates earn 25% commission on qualifying sales referred through their unique tracking link.
3.2. Qualifying Sale – A sale is deemed “qualifying” only if:
- The customer used your unique affiliate link;
- The customer remains in good standing and has not requested a refund or chargeback within 30 days;
- The purchase is not generated by fraudulent, self-referral, or abusive activity.
3.3. Recurring Commissions – Affiliates will receive 25% commission on recurring subscription payments for as long as the referred customer maintains an active account.
4. Payment
4.1. Schedule – Commissions are paid monthly, typically within 30 days after the close of the prior month.
4.2. Minimum Payout – Affiliates must accrue a minimum of $50 in commissions before payout.
4.3. Payment Method – Payments will be made via PayPal, ACH, or another method specified by Cloudifi.
4.4. Taxes – Affiliates are solely responsible for reporting and paying applicable taxes on commissions earned.
5. Term & Termination
5.1. Term – This Agreement begins upon approval into the Program and continues until terminated.
5.2. Termination by Affiliate – You may terminate participation at any time by providing written notice.
5.3. Termination by Cloudifi – We may suspend or terminate this Agreement at any time for any reason, including but not limited to fraudulent activity, breach of these terms, or conduct deemed harmful to Cloudifi.
5.4. Effect of Termination – Upon termination, you will no longer receive commissions for future sales, but you will be paid any outstanding approved commissions earned prior to termination.
6. Intellectual Property
6.1. License Grant – Cloudifi grants you a limited, non-exclusive, non-transferable license to use our logos, banners, and affiliate links solely for promoting Cloudifi services under this Agreement.
6.2. Restrictions – You may not modify our trademarks, logos, or branding in any way.
7. Limitation of Liability
7.1. Cloudifi shall not be liable for indirect, incidental, or consequential damages arising under this Agreement.
7.2. Our aggregate liability shall not exceed the total commissions paid to you in the three (3) months preceding the claim.
8. Disclaimer
We make no warranties regarding the Program, services, or commissions beyond those expressly stated in this Agreement. Participation is at your own risk.
9. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Texas, without regard to conflict of laws principles.
10. Miscellaneous
10.1. Independent Contractor – Affiliates are independent contractors and not employees, partners, or agents of Cloudifi.
10.2. Entire Agreement – This Agreement constitutes the entire agreement between the parties concerning the Program.
10.3. Modifications – Cloudifi reserves the right to modify these terms at any time. Continued participation constitutes acceptance of any modifications.
